Terms of Service
These Terms of Service (the “Terms”) govern your access to and use of the Chroma interface, websites, and related services (the “Interface”), operated by Chroma LLC (“Chroma”, “we”, “us”, or “our”). By accessing or using the Interface, you agree to be bound by these Terms. If you do not agree, do not use the Interface.

01Acceptance of these terms
By accessing or using the Interface you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Risk Disclosure, which are incorporated by reference. If you are using the Interface on behalf of an entity, you represent that you are authorized to bind that entity.
We may modify these Terms from time to time. Material changes take effect when the updated Terms are posted with a new “Last updated” date; your continued use after that constitutes acceptance.
02Eligibility & restricted jurisdictions
You must be at least 18 years old and legally capable of entering into these Terms. You may not use the Interface if you are located in, or are a resident, national, or agent of, any jurisdiction where your use would be unlawful, or if you are subject to applicable sanctions or trade restrictions.
You are solely responsible for determining whether your use of the Interface is lawful where you are. We may, at our discretion and without notice, restrict or block access from any jurisdiction or to any person.
03Nature of the service — a non-custodial interface
The Interface is a front end that helps you interact with permissionless smart-contract programs deployed on the Solana blockchain (the “Protocol”). Chroma is non-custodial: we never take custody, possession, or control of your funds, tokens, private keys, or wallet. All deposits, refunds, allocations, and distributions are executed by the on-chain Protocol — not by Chroma.
Blockchain transactions are irreversible once confirmed. You are responsible for the wallet you connect, the addresses you send from, the transactions you approve, and any associated network fees. Chroma cannot reverse, cancel, freeze, or recover a transaction.
04No financial, investment, tax, or legal advice
Nothing on the Interface is, or should be construed as, financial, investment, tax, legal, or other professional advice, nor an offer, solicitation, or recommendation to buy, sell, or hold any digital asset. You are solely responsible for your own decisions and should consult your own qualified advisors.
05Fees
A platform fee of 1.5% is taken from each deposit at the time of deposit and is non-refundable, including where a raise fails and the remaining net deposit is refunded by the Protocol. This is the only fee Chroma charges; you remain responsible for Solana network (gas) fees. Fee terms may change prospectively for future deposits.
06Assumption of risk
Participating in token presales and using the Protocol carries significant risk, including the total and permanent loss of funds. You acknowledge and accept all such risks, which are described further in our Risk Disclosure. You should only commit funds you can afford to lose entirely.
07No warranties
The Interface is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Interface or the Protocol will be uninterrupted, secure, error-free, or free of harmful components, or that any project listed will achieve its stated goals.
08Limitation of liability
To the maximum extent permitted by law, Chroma and its affiliates, officers, and personnel will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, data, or digital assets, arising out of or relating to your use of the Interface or the Protocol. To the extent liability cannot be excluded, it is limited to the greater of the fees you paid to Chroma in the three months preceding the claim, or USD 100.
09Prohibited use
You agree not to use the Interface to violate any law or regulation; to evade sanctions or facilitate money laundering or terrorist financing; to engage in market manipulation, fraud, or deceptive conduct; to infringe the rights of others; or to attack, exploit, maliciously reverse-engineer, or disrupt the Interface, the Protocol, or other users.
10Indemnification
You agree to indemnify and hold harmless Chroma and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Interface, your violation of these Terms, or your violation of any law or the rights of a third party.
11Governing law & severability
These Terms are governed by the laws of the jurisdiction in which Chroma LLC is organized, without regard to conflict-of-laws principles. We may update, suspend, or discontinue the Interface, in whole or in part, at any time. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
